1. Company Information
These Terms of Service (“Terms”) govern the use of all services provided by drumBEAT Marketing UK, a trading name of:

“We”, “us”, and “our” refer to drumBEAT Marketing UK. “Client”, “you”, and “your” refer to any individual or organisation using our website, services, or platforms (including Grow).
By using our website or engaging our services, you agree to these Terms.
2. Scope of Services
We provide (but are not limited to) the following services:
- Marketing consultancy
- Marketing strategy
- Web design and development
- Hosting and website maintenance
- Social media management
- SEO (Search Engine Optimisation)
- Paid advertising management
- Email marketing
- Access to and support with our Grow platform
- Training, workshops, and consultancy
- Retainer-based marketing support
- Project-based and hourly/day-rate work
Any service-specific details, deliverables, or deadlines will be set out in a written proposal, quote, or agreement.
3. Payment Terms
3.1 Accepted Payment Methods
We accept:
- Bank transfer
- Debit and credit cards
- Direct debit
- Stripe
- GoCardless
- Any other method specified on our invoice or proposal
3.2 Payment Structure
Payment terms vary by service:
- Retainers: Typically billed monthly in advance.
- Website & project-based work: Typically 50% upfront and 50% on completion, unless otherwise agreed in writing.
- Ad-hoc work: Billed upon completion or on agreed milestones.
3.3 Late Payment
If payment is not received by the due date, we may:
- Suspend access to services, hosting, or the Grow platform
- Pause active work or scheduled tasks
- Apply interest in line with the Late Payment of Commercial Debts (Interest) Act 1998 (8% plus Bank of England base rate)
3.4 Refunds
As we provide time, expertise, and digital services, we do not offer refunds once work has begun or access has been provided.
4. Term, Cancellation & Minimum Commitment
4.1 Retainers & Ongoing Services
All ongoing or retainer services require a 30-day minimum cancellation notice, unless otherwise agreed.
4.2 Projects & Websites
Website and project agreements terminate once all deliverables are completed and paid in full.
No refunds are available for cancelled projects once work has commenced.
4.3 Hosting & Grow Platform
Cancellation requires 30 days’ notice.
No pro-rata refunds are given for unused periods.
5. Intellectual Property
5.1 Ownership
All materials created by drumBEAT Marketing UK — including designs, copywriting, graphics, websites, frameworks, or digital assets — become the client’s property once all invoices related to that work are paid in full.
5.2 Use of Templates
Clients may reuse templates we provide for their own business purposes.
5.3 Portfolio Rights
We reserve the right to display completed work, screenshots, or anonymised project results in our portfolio, proposals, or general marketing unless the client requests otherwise in writing.
6. Client Responsibilities
To enable us to deliver the agreed services, the client must:
- Provide accurate, truthful, and complete information
- Supply content, approvals, feedback, or assets within agreed timelines
- Maintain ownership of all third-party licences, accounts, and systems they provide access to
- Ensure they have the right to use any materials they upload, request, or provide
- Provide timely access to systems, hosting, analytics, or platforms required for delivery
We are not liable for delays caused by missed deadlines, incomplete information, or lack of approvals from the client.
7. Hosting & Maintenance Terms
By using our hosting or maintenance services, you agree that:
7.1 Service Levels
- Hosting is provided on a best-effort basis.
- No uptime Service Level Agreement (SLA) is guaranteed.
7.2 Data Centre & Third-Party Responsibility
We are not responsible for outages, downtime, performance issues, or data loss caused by:
- Data centre interruptions
- Third-party failures
- cPanel/WHM outages
- Internet or network-level issues
7.3 Backups
We retain website backups for 30 days.
Restoration may incur a fee unless included in your plan.
7.4 Maintenance Coverage
Maintenance includes:
- Plugin, theme, and core updates
- Security scanning
- Monitoring for issues
- Basic technical support
Maintenance does not include:
- Major redesigns
- Custom development
- Malware removal (unless covered by your plan)
- Emergency rebuilds caused by third-party interference
8. Data Protection & GDPR
We comply with the UK GDPR and the Data Protection Act 2018.
8.1 Roles
Depending on the service provided, we act as:
- A Data Controller for our own business operations (e.g., client contact details)
- A Data Processor when managing or accessing your systems, marketing platforms, CRM, or website data
8.2 Sub-Processors
We may use third-party services such as:
- Website hosting providers
- Cloudflare
- Google Workspace
- Grow platform partners
- Project management tools (e.g., Productive.io)

8.3 Client Responsibilities
You are responsible for ensuring you have the legal right to process personal data you provide, including customer data, subscriber lists, and website analytics.
9. Limitation of Liability
To the fullest extent permitted by law:
9.1 Maximum Liability
Our total liability for any claim is limited to the total amount paid by the client for the service giving rise to the claim.
9.2 Exclusions
We are not liable for:
- Loss of profits, revenue, business, or opportunity
- Consequential, special, or indirect damages
- Performance of advertising campaigns (results cannot be guaranteed)
- SEO performance or rankings
- Website downtime outside our control
- Loss caused by third-party platforms
- Errors based on information provided by the client
9.3 Marketing Results
We cannot and do not guarantee specific results, leads, rankings, or revenue outcomes from marketing activity.
10. Confidentiality
Both parties agree to keep confidential all non-public information shared during the course of the engagement.
11. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes will be handled exclusively in the courts of England and Wales.
12. Changes to These Terms
We may update these Terms from time to time.
The latest version will always be available on our website.
Continued use of services constitutes acceptance of updated Terms.
